STATEMENT OF LIMITED WARRANTY

1. WARRANTY

ONVI III, LLC (“ONVI”) hereby warrants to the original purchaser (“you,” “your” and “yours”) that the Motsy™-branded double-LED dental examination light accompanying this Statement of Limited Warranty (each, a “Motsy Light”) shall materially conform to its accompanying documentation (collectively, the “Specifications”), in normal use consistent with the Specifications, for one (1) year from the date you first received the Motsy Light (the “Warranty Period”).

If any Motsy Light shall fail to conform to the foregoing limited warranty, you may return such Motsy Light to ONVI, at your risk and expense and no later than ten (10) days after the end of the Warranty Period. ONVI shall then, at its option, either repair such Motsy Light using new or reconditioned parts, replace such Motsy Light with a new Motsy Light, or refund the purchase price you paid for the Motsy Light. Where ONVI elects to repair or replace the Motsy Light, ONVI shall in either case then return such Motsy Light to you at ONVI’s risk and expense. Notwithstanding the foregoing, however, for Motsy Lights returned to ONVI as hereinabove provided which are found by ONVI to materially conform to the foregoing limited warranty, all associated shipment costs shall instead be borne by, and will be billed to and paid by, you. Returned Motsy Lights shall be subject to the balance of the Warranty Period otherwise applicable, but in no event less than sixty (60) days. The foregoing describes ONVI’s sole liability, and your sole remedy, for any breach of warranty.

THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

2. LIMITED WARRANTY EXCLUSIONS

The foregoing limited warranty does not cover and shall be void for defects or damages resulting from casualty, accident, misuse or abuse, neglect, alterations, service or repair by anyone other than ONVI, including without limitation you, improper operation, normal wear and tear or other causes not arising out of defects in the materials or workmanship of the Motsy Light. Motsy Lights are not meant to be opened or taken apart, and you hereby agree not do so, or attempt to do so.

IN NO EVENT SHALL ONVI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, REGARDLESS OF HOW ARISING AND REGARDLESS OF WHETHER ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ONVI’S TOTAL LIABILITY TO YOU EXCEED THE PRICE YOU PAID FOR THE CORRESPONDING MOTSY

LIGHT. Some jurisdictions, such as New Jersey, do not allow the limitation of certain damages, so the foregoing may not apply to you.

3. PROCEDURE FOR LIMITED WARRANTY SERVICE

Prior to returning any Motsy Lights to ONVI, you must first contact ONVI, either by telephone ((847) 998-1112) or email (returns@shoponvi.com), to confirm that such Motsy Lights are covered by the foregoing limited warranty. If such Motsy Lights are covered, ONVI will provide you with a return merchandise authorization (“RMA”) number and shipping instructions prior to any shipment of such Motsy Lights to ONVI, and you shall include such RMA number with any corresponding Motsy Light return shipment. Any Motsy Lights returned to ONVI without an RMA number will be rejected and returned to you at your expense.

4. DISCLAIMER

THE FOREGOING STATEMENT OF LIMITED WARRANTY STATES ONVI’S SOLE AND EXCLUSIVE WARRANTY TO YOU AND ANY THIRD PARTY CONCERNING THE MOTSY LIGHTS AND DOCUMENTATION, AND YOUR SOLE REMEDY. ONVI MAKES NO ADDITIONAL WARRANTIES, EXPRESS, IMPLIED, ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, OR STATUTORY, AS TO THE MOTSY LIGHTS OR ANY MATTER WHATSOEVER. THIS IS A LIMITED WARRANTY AND IS THE ONLY WARRANTY MADE BY ONVI. Some jurisdictions, such as New Jersey, do not allow the disclaimer of certain warranties, so the foregoing may not apply to you.
